<br />this Article VIII of these Bylaws in defending any proceeding covered by this Article VIII <br />shall be advanced by the Corporation before final disposition of the proceeding, on receipt <br />by the Corporation of any undertaking by or on behalf of that person that the advance will be <br />repaid unless it is ultimately determined that the person is entitled to be indemnified by the <br />Corporation for those expenses. <br /> <br />ARTICLE IX <br />INSURANCE <br /> <br />Section 9.01. <br /> <br />RIGHTS TO INSURANCE. <br /> <br />The Corporation shall have the right to purchase and maintain insurance to the full <br />extent permitted by law on behalf of its officers, Directors, employees, and other agents, <br />against any liability asserted against or incurred by any officer, Director, employee, or agent <br />in such capacity or arising out of the officer's, Director's, employee's, or agent's status as <br />such. <br /> <br />ARTICLE X <br />RECORDS AND REPORTS <br /> <br />Section 10.01. <br /> <br />INSPECTION <br /> <br />Every Director shall have the absolute right, at any reasonable time, to inspect, copy, <br />and make extracts of all books, records, and documents of every kind, and to inspect the <br />physical properties of the Corporation for a purpose reasonably related to his or her interest <br />as a Director. This inspection may be made in person or by an agent or attomey. <br /> <br />Section 10.02. <br /> <br />MAINTENANCE OF ARTICLES AND BYLAWS. <br /> <br />The Corporation shall keep at its principal executive office a copy ofthe Articles and <br />Bylaws as amended to date, <br /> <br />Section 10.03. <br /> <br />MAINTENANCE AND INSPECTION OF OTHER CORPORATE <br />RECORDS. <br /> <br />Minutes of proceedings of the Members, Board, or committees of the Board shall be <br />kept in '.\'Titten or typed fonn by the Secretary of the Corporation, or an individual <br />designated by the Chairman of the Board, and the accounting books and records shall be <br />kept either in vvritten or typed form or in any form capable of being convelted into wIitten, <br />typed or printed form. The minutes, accounting books and records shall be open to <br />inspection by a Director on the reasonable demand of any Director, The purpose for the <br />maintenance of corporate records is to preserve decisions, directions and mandates of the <br />Board of Directors, Members and Committees of the Board. <br /> <br />(n) lvfinutes of the Board of Directors meetings shall be circulated to all Board <br />IVlembers and corporate counsel 'vvithi11 thirty (30) calendar days of the conclusion of <br /> <br />15 i\lIayI7,10mFinal <br />
