CONTRACT FOR SERVICES THIS CONTRACT is entered into effective as of the 1st day of January, 2004, by and between CASS COUNTY, NORTH DAKOTA, a political subdivision of the State of North Dakota, (the "County") and FARGO CASS COUNTY ECONOMIC DEVELOPMENT CORPORATION, a North Dakota non-profit corporation, (the "FCCEDC"). Preliminary Statement The FCCEDC is engaged in facilitating economic development in Cass County, North Dakota. County desires to utilize the services of FCCEDC as provided in this Contract and FCCEDC is willing to provide those services for the County. In consideration of the mutual promises set forth herein, it is agreed as follows: 1. Description of Work. FCCEDC shall: (a) Development of Goals. Establish policies and goals for economic development in Cass County and regularly evaluate these policies and goals. (b) Business Retention. Facilitate the retention and expansion of existing companies through the implementation of an employer visitation and support program. (c) Marketing. Develop demographic profiles for Cass County communities and proposal response package to be used in the attraction of new pdmary sector businesses to Cass County. (d) Workforce Development. Develop, promote, and/or administer initiatives to support the expansion of Cass County primary sector businesses. (e) Administration of the Growth Initiative Fund("GIg'). Administer and manage GIF funds for the purpose of assisting primary sector businesses in expanding in, or relocating to, Cass County. 3. Financial Statements. FCCEDC will deliver to the County, an audited financial statement for its year-end December 31st, 2003, not later than May 1st, 2004 and st for its year-end December 31 , 2004, not later than May 1st, 2005. 4. Compensation. County shall pay to FCCEDC for its services hereunder in 2004 the amount of $250,000. FCCEDC shall be responsible for its expenses including out of pocket expenses, in providing the services to the County.
