  <br />43 <br />  Version Oct 13, 2022 <br />costs, relocation and re-establishment costs, legal fees associated with the acquisition, court costs, <br />closing costs arising from and related to the acquisition of Dispatch Center Property, <br />environmental remediation, cultural mitigation, and any other costs required by the Uniform Act. <br />Each Member Entity that acquires Dispatch Center Property shall submit its request for <br />reimbursement to the Director and to the Fiscal Agent for payment. The Red River Regional <br />Dispatch Center Authority will review and determine if such costs are eligible for reimbursement <br />and then shall reimburse the Member Entity for the allowable costs incurred in connection with <br />Dispatch Center Property acquisition. <br /> <br />Section 16.10 SALE OF EXCESS DISPATCH CENTER PROPERTY. The Member Entities <br />agree and acknowledge that excess real property may be acquired in connection with real property <br />needed for the Dispatch Center. In the event that excess real property is acquired, the Member <br />Entity shall coordinate the sale, conveyance, or lease of such property with the Director and that <br />Member Entity’s chief administrative staff. Member Entities shall not sell, trade, and/or <br />exchange excess Dispatch Center Property without prior written approval from the RRRDC <br />Authority Board. All monies generated, less reasonable administrative expenses incurred by the <br />Member Entity, from the sale, conveyance, or lease of excess Dispatch Center Property by a <br />Member Entity, shall be remitted to the Red River Regional Dispatch Center Authority. <br />  <br />Section 16.11 PRO-RATA SAFE HARBOR. In the event that a Member Entity and the Red <br />River Regional Dispatch Center Authority jointly acquire a parcel and only a portion or <br />percentage of said property is needed for the Dispatch Center, the Member Entity and the Red <br />River Regional Dispatch Center Authority will cooperate in the sale of excess property and sale <br />proceeds will be applied and refunded to the Member Entity and the Red River Regional <br />Dispatch Center Authority based upon the pro-rata Member Entity contribution and the Red <br />River Regional Dispatch Center Authority contribution. <br /> <br />Section 16.12 DISPATCH CENTER PROPERTY OWNERSHIP UPON WITHDRAWAL AND OR <br />REMOVAL OF A MEMBER ENTITY. In the event that a Member Entity withdraws or is removed <br />from the Red River Regional Dispatch Center Authority pursuant to Sections 21.05 and/or <br />21.06 of this Agreement that Member Entity shall convey, transfer and assign any and all <br />Dispatch Center Property which has been titled in the name of the Former Member Entity to <br />the Red River Regional Dispatch Center Authority within forty-five (45) days of withdrawing <br />or being removed from the Red River Regional Dispatch Center Authority and this Agreement. <br />  <br />ARTICLE XVII. <br />THIRD PARTY BENEFICIARIES [RESERVED.] <br /> <br /> <br />ARTICLE XVIII. <br />EFFECT OF AMENDMENT <br /> <br />Section 18.01 INTENT. This Agreement is intended to be an amendment to, and a <br />replacement of, the Original Joint Powers Agreement dated as of ___________, _____ as <br />amended, and that this Agreement shall serve as the amended and reconstituted joint powers <br />agreement between the Member Entities. <br />
