Tax Statement Modification Agreement THIS AGREEMENT is made between Ward County, North Dakota (hereafter "Agency") and the Cass County Government, North Dakota (hereafter "Contractor"). WHEREAS, the Agency has the need to modify its printed tax statements to meet new requirements under state law; WHEREAS, the Contractor has the same mandated requirements and has employee on staff with the knowledge and abilities to perform the modification as required; WHEREAS, the Contractor represents that it is duly qualified and willing to perform the modifications for the Agency set forth herein; NOW THEREFORE, in consideration of the mutual covenants and promises contained herein, the Agency and Contractor agree as follows: 1. Term of Agreement: This Agreement shall be effective upon signing by both parties and will remain in effect until the scope of service is completed, unless either party determines that services are no longer required. 2. Scope of Service: 1. Contractor's Duties: To provide AS/400 programming services as more fully outlined in Appendix A to this Agreement. 2. Agency's Duties: To provide the information and assistance outlined in Appendix A and the payments outlined herein, to the Contractor. 3. Consideration and Terms of Payment: 1. Amount ofPayment(s): The Agency shall pay the Contractor an hourly rate in the amount of$28.00 for services provided. All services shall be performed at the Contractor's location. If Contractor presence is required onsite, the Agency shall pay necessary per-diem and travel expenses for Contractor employees to and from the Agency's equipment location. 2. Terms ofPavment(s): The Agency shall pay the Contractor at the completion of services provided. 3. Conditions ofPayment(s): All services provided by the Contractor pursuant to this Agreement shall be performed to the satisfaction of the Agency and in accordance with all applicable federal, state and local laws, ordinances, rules and regulations. The Contractor shall not receive payment for work found by the Agency to be performed in violation of such laws, ordinances, rules and regulations or performed to the satisfaction of the Agency.
