1. MIDA Bond Hospice of Red River Valley

LOAN AGREEMENT THIS LOAN AGREEMENT dated as of July I, 2007, between Cass County, a political subdivision in the State ofN orth Dakota (the "Issuer"), and Hospice of the Red River Valley, aN orth Dakota nonprofit corporation (the "Corporation"). WITNESSETH the Issuer and the Corporation, each in consideration ofthe representations, covenants, and agreements of the other as set forth herein, mutually represent, covenant, and agree as follows: ARTICLE 1 DEFINITION, EXHIBITS, AND RULES OF INTERPRET A TION SECTION 1.01. DEFINITIONS. In this Loan Agreement, the terms defined in the Indenture shall have the same meaning herein, and the following terms have the following respective meanings unless the context hereof clearly requires otherwise: "Act" means Chapter 40-57, North Dakota Century Code, as amended. "Additional Payments" means the sums to be paid by the Corporation pursuant to Section 4.03 hereof. "Assignment of Leases and Rents" or "Assignment" means the Assignment of Leases and Rents from the Corporation to the Trustee dated as of the date hereof, as the same may be amended from time to time. "Basic Payments" means the sums to be paid by the Corporation pursuant to Section 4.02 hereof. ~'Bond" or "Bonds" means the Cass County, North Dakota, Mortgage Revenue Bonds (Hospice of the Red River Valley Project), Series 2007, to be issued by the Issuer pursuant to the Resolution and the Indenture, in the aggregate principal amount of $2,520,000. "Bond Closing" means the date of delivery of and payment for the series of Bonds. "Bond Counsel" means an attorney or firm of attorneys at law of nationally recognized standing in the field of law relating to exemption from federal income taxation with respect to interest on municipal bonds. "Bond Fund" means the fund created by Section 5.1 of the Indenture. 1-1
