No rate adjustment shall be effective until a formal written modification to this Agreement is issued and signed by the DOCR. In no event shall rates be approved retroactively. ARTICLE IX - FINANCIAL PROVISIONS In consideration of the Contractor's satisfactory performance of services called for under this IGA, the DOCR shall reimburse the Contractor at the fixed rate indicated on Page 1 of the IGA. The rate covers one offender per person-day. The Contractor may bill the DOCR for the day the offender is admitted to the contract facility, but not for the day of discharge from the facility. The Contractor shall bill for services provided on a monthly basis. Monthly billings shall list each DOeR offender, the offender status (Le. inmate I parole violator), the specific dates of confinement for each, and the total days to be reimbursed, the agreed upon rate per day and the total amount billed (total days multiplied by the rate per day). The DOCR will submit payment within 30 days of billing. Contractor shall submit invoice to the following: DOCR Business Office PO Box 5521 Bismarck, ND 58506-5521 Invoice shall include FULL NAME (last first middle), DOB, SID, Arresting or Referring Officer/Agency ARTICLE X - SPOLIATION - NOTICE OF POTENTIAL CLAIMS The Contractor shall promptly notify the DOCR of all potential claims which arise or result from this contract. The Contractor shall also take all reasonable steps to preserve all physical evidence and information which may be relevant to the circumstances surrounding a potential claim, while maintaining public safety, and grants to the state of North Dakota the opportunity to review and inspect the evidence, including the scene of an accident. ARTICLE XI-INDEMNITY The State and Political Subdivision (Contractor) each agrees to assume its own liability for any and all claims of any nature including all costs, expenses and attorneys' fees which may in any manner result from or arise out of this agreement. ARTICLE XII-INSURANCE Contractor shall secure and keep in force during the term of this agreement, from insurance companies, government self-insurance pools or government self-retention funds, authorized to do business in North Dakota, the following insurance coverage: Page 4
