4. Jail/juvenile detention food service contract

2.18.11 Fire Extinguisher System The County shall furnish and maintain fire extinguisher equipment and supplies, including automatic hood extinguisher systems. 2.18.12 Hood Ducts and Vent Cleaning The County is responsible for the periodic cleaning of hood ducts, plenums and related vents and fans. 2.19 Statements, Audits, Payments, and Billings. 2.19.1 Monthly Billings The Contractor shall submit to the County, on a monthly basis, an invoice for the census count total for the month or the actual meals served which ever is greater. 3.0 STANDARD TERMS AND CONDITIONS 3.1 Applicable Law This contract shall be governed under the laws of North Dakota. The Contractor shall at all times comply with and observe all federal, state and local laws, ordinances and regulations that are in effect during the period of the contract. 3.2 Contract Term The effective date of this contract is March 1st, 2007. The contract is for Three (3) years beginning on Marchlst, 2007 through February 28th, 2010. The contract can be extended for additional one year periods at the County's discretion. After the initial two years of the contract, the following year(s) price per meal increases will be based on the Consumer Price Index (CPI-U) Midwest Region All Items for the previous year. This index is published by the Department of Labor Bureau of Statistics. 3.3 Dispute Resolution If an issue arises during the course of this contract the County and Contractor agree to notify each other of the specific issue in writing within five (5) business days and agree to attempt to resolve to address the issue through normal channels. If an amenable solution is not able to be achieved, the parties will attempt to resolve the issue through arbitration. Both parties shall share the cost of the dispute resolution process equally although personal attorneys and witnesses or specialists are the direct responsibility of each party and their fees and expenses shall be the responsibility of the individual parties 3.4 Litigation If the parties are not able to resolve a dispute as described in item 3.3 (Dispute Resolution), any litigation concerning this contract shall be conducted in state courts within the State of North Dakota. The laws of the State of North Oakota shall be controlling. 3.6 Contract Payment In consideration of all conditions enumerated in this contract, the Contractor agrees to accept and the County agrees to pay per standard meal based on the following sliding grid scale: 8
