<br />TECHNICAL SUPPORT SERVICES AGREEMENT <br /> <br />THIS TECHNICAL SUPPORT SERVICES AGREEMENT (Agreement) is made and <br />entered into this _ day of ,2007, by and between Cass County (County) and <br />North Dakota Association of Counties, Inc., a North Dakota nonprofit corporation (NDACo). <br /> <br />WHEREAS, County has determined that it and the government agencies it serves have a <br />need for the technical support services referred to in the paragraph below entitled "Scope of <br />Services" and that these services form an appropriate basis for the expenditure of funds; and <br /> <br />WHEREAS, NDACo proposes to provide those services; <br /> <br />NOW, THEREFORE, in consideration ofthe mutual undertakings and promises hereinafter <br />set forth, the parties hereby agree as follows: <br /> <br />r. TERM OF AGREEMENT <br />The term of this Agreement shall be from January 1, 2007 through December 31,2007; <br />however, this Agreement will be automatically renewed for successive terms of equal <br />duration unless either party provides a written notice of termination to the other party at least <br />30 days before the current term is due to expire. <br /> <br />IT. SCOPE OF SERVICES <br />NDACo shall assist County in operating and maintaining its management information <br />and data communication systems as follows: <br /> <br />A. NDACo will provide County with planning assistance, new equipment installation, <br />technical and administrative support, training and other onsite and offsite consulting <br />services as set forth in the Compensation Schedule attached hereto as Exhibit A. <br />B. NDACo will provide reasonable help desk support to County. <br />C. NDACo will have access to County's network for the duration of this contract for remote <br />support. <br /> <br />County shall cooperate with NDACo in its performance of the foregoing services, and <br />shall make readily and promptly available all information, equipment and County <br />personnel necessary for NDACo to perform such services. <br /> <br />III. COMPENSATION <br />County agrees to pay to NDACo the amount set forth in the Compensation Schedule attached <br />hereto as Exhibit A. <br /> <br />IV. AUTHORITY TO CONTRACT <br />NDACo shall be authorized to purchase, on behalf of County and at County's cost, all <br />hardware, software and other equipment requested or approved by County, and to sign, on <br />behalf of County and in County's name, any purchase agreements, license agreements or <br />other documents necessary or advisable to acquire such equipment; otherwise, NDACo <br />shall not have the authority to contract or incur obligations on behalf of County, except <br />with the express written consent of County.
