SIXTH AMENDMENT TO ON-LINE SERVICES AGREEMENT THIS SIXTH AMENDMENT TO ON-LINE SERVICES AGREEMENT (the "Amendment"') is made and entered into as of the _ day 01'____.__ 2006. by and between CHOICE POINT GOVERNMENT SERVICES INC. CChoicePoinC) and CASS COUNTY TREASURER, NORTH DAKOTA, a public entity acting by and through its duly elected representatives ("Customer"). \V!TNE~~ETH: WHEREAS, Choice Point and Customer are parties to an On-line Services Agreement dated August L 2000: \vhich \vas amended on August 10,2001, and was further amended on September 3, 2002. and was further amended on September 15. 2003. and \vas further amended on September 3.2004, and was further amended on October 17. 2005 (as amended. the "Services AgreemenC). WHEREAS. Customer desires to renew the Services Agreement for an additional term of three (3) year; WHEREAS. ChoicePoint desires to renew the Services Agn:ement for a tem1 of three (3) year provided that Customer pays a subscription fee of $1 0.000.00 annually for the rene\val term: and WHEREAS, subject to the terms and conditions set forth herein. the parties desire to amend the Services Agreement as provided herein. NOW, THEREFORE, FOR AND IN CONSIDERATION of the premises. the mutual promises. covenants and agreements contained herein. and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged. the parties hereto agree as follows: 1. The parties hereto agree to renew the Services Agreement for a period of three (3) year. commencing on the date hereof. J The term of the Services Agreement is hereby extended for an additional period of three (3) years from the Effective Date of this amendment. subject to Customer's payment of a monthly subscription fee equal to Eight Hundred Thirty Three and 33/1 Oaths Dollars ($10,000.00 annually) to ChoicePoint. payable in accordance with the terms ofthe Services Agreement.
