<br />COST-SHARE AGREEMENT <br /> <br />THIS AGREEMENT, made and entered into this _ day of <br />2006, by and between SOUTHEAST CASS WATER RESOURCE DISTRICT, a political <br />subdivision of the State of North Dakota (the "District"), THE CITY OF FARGO, NORTH <br />DAKOTA, a municipal corporation of the State of North Dakota ("Fargo"), CASS COUNTY, a <br />political subdivision of the State of North Dakota ("Cass County"), and the MUNICIPAL <br />AIRPORT AUTHORITY OF THE CITY OF FARGO, a political subdivision of the State of <br />North Dakota (the "Airport Authority"). <br /> <br />RECITALS <br /> <br />A. The District constructed, operates, and maintains Cass County Drain No. 10 <br />("Drain 10") within its jurisdictional boundaries. Drain 10 lies wholly within Cass County's <br />jurisdictional boundaries, partially within Fargo's jurisdictional boundaries, and adjacent to <br />property O\vned by the Airport Authority. <br /> <br />B. The parties agree Drain 10 requires slide repairs and wish to make all necessary <br />repairs related to the slides, and the parties further wish to replace the bridge on 32nd Avenue <br />North that crosses over or otherwise intersects Drain 10 (the "Project"). <br /> <br />C. The parties wish to share costs related to the Project in the manner provided in <br />this Agreement. <br /> <br />In consideration of the mutual covenants contained in this Agreement, and other good <br />and valuable consideration, the sufficiency of which the parties acknowledge, the parties agree as <br />follows: <br /> <br />AGREEMENT <br /> <br />1. Obli2ations. The District shall be responsible for all Project design, engineering, <br />bidding, awarding of contracts, administration of contracts, legal, and other duties necessary for <br />purposes of the Project. The parties shall be responsible for cost participation regarding costs of <br />the Project as provided in this Agreement. The parties agree the Project is a joint project of all <br />the parties to this Agreement, and the parties jointly assume all risk for the Project, except for <br />claims arising out of the sole negligence of any particular party. <br /> <br />2. <br />$640,000.00. <br />forth below: <br /> <br />Participation Costs.
