<br />9. Indemnification <br /> <br />SRF agrees, to the fullest extent permitted by law, to indemnify and hold the County hannless <br />from any damage, liability or cost (including reasonable attorneys' fees and costs of defense) to <br />the extent caused by SRF's negligent acts, errors or omissions in the performance of professional <br />services under this Agreement and those of its subcontractors or anyone for whom SRF is legally <br />liable. <br /> <br />10. Insurance <br /> <br />Prior to commencing work under this Agreement, SRF, shall, furnish the County with certificate <br />(s) of insurance and at all times during the term of the Agreement have and keep force. <br /> <br />A. Comprehensive General Liability <br />B. Comprehensive Automobile Liability (Owned, Non-Owned, Hired) <br />C. Professional Liability <br />D. Workers' Compensation <br /> <br />County shall be named an additional insured on the Comprehensive General Liability and <br />Comprehensive Automobile Liability policies, both of which shall have coverage limits for <br />bodily injury and property damage of not less that $300,000 per person/$I,OOO,OOO per <br />occurrence. Workers' Compensation insurance shall meet Minnesota statutory minimum <br />requirements and cover work in Minnesota and North Dakota. The certificate (s) of insurance <br />shall provide that the insurer shall within 30 days notify the County of policy cancellation. <br /> <br />11. Subcontracting and Assignment <br /> <br />SRF shall not enter into any subcontract for performance of any services contemplated under this <br />contract, other than the Sub Consultants listed on Exhibit A. nor assign any interest in this <br />Contract without the prior written approval ofthe County. <br /> <br />12. Nondiscrimination <br /> <br />During the performance of its responsibilities under this Agreement, SRF agrees to the <br />following: <br /> <br />No person shall, on the ground of race, color, religion, age, sex, disability, marital status, public <br />assistance status, affectionnal preference, familial status, ancestry, creed, or national origin be <br />excluded from full employment rights in, participation in, be denied the benefits of or be <br />otherwise subjected to discrimination under any and all applicable Federal and State laws against <br />discrimination. <br /> <br />13. Approvals <br /> <br />Before this Agreement shall become binding and effective, it shall receive the approval of such <br />authorized officials as the law may provide. <br /> <br />14.
