PARKING LOT AT 11TM STREET AND 3RD AVENUE SOUTH AGREEMENT THIS AGREEMENT is made and entered into this ~ day of , 2003 between Cass County Government, whose post office.address is P.O. Box 2806, 211 9th St. S., Fargo, North Dakota (the County) and the Park District of the City of Fargo, whose post office address is 701 Main Avenue, Fargo, North Dakota (the Park District). PRELIMINARY STATEMENT · The Park District is the owner of land described as Original Townsite, Block 27, Lots 11 and 12 of the City of Fargo (the Park District land). The Park District land is shown on the Plat Plan which is attached as Exhibit A. The Park District and the County desire to jointly develop and manage the parking lot located on the Park District land. FOR VALUABLE CONSIDERATION, the parties agree as follows: The Park District grants to the County an easement for the construction, maintenance and use of recreational and support facilities over the Park District land described on the attached Exhibit A. The parties shall jointly use the parking facilities located on the property of the Park District in accordance with a joint use agreement to be prepared by the parties jointly and annually updated. The joint usage agreement shall include the terms shown on the attached Exhibit B. The County will have its engineer or architect prepare plans and specifications for the improvements, will advertise for bids in accordance with public bidding requirements for political subdivisions and will award the contract or contracts for the improvements. The County will supervise the construction of the improvements as set out in Exhibit A. The estimated cost of construction is set out in Exhibit C. The County will provide all funds for the construction of the improvements as set out in Exhibit A. Park District will provide the land for the improvements. o Any change in the design of the improvements must be approved by both parties to this Agreement. The parties must also agree on the sequence of construction. The Park District will provide the land for its share of the improvements. o The Park District will cause the improvements depicted as Parking Lot on Exhibit A to be maintained in accordance with the Park District's standard for the maintenance of similar facilities. The County will cause the facilities depicted as Parking Lot to be maintained in accordance with the County's standards for similar facilities. Each party shall be responsible for the cost of maintenance performed by their staff. SUGGESTED MOTION: Move to authorize the chairman to sign the parking lot agreement at 1 lth Street and 3rd Avenue South with the Fargo Park District.
