<br />executed, unless membership fees for pdor Program years are paid. <br /> <br />2.03 The Program year shall be from June 1 through May 31. CONTRACTOR shall <br />provide an annual proposal which will set forth potential tasks to be performed in the Program <br />year. At the annual Program meeting, SPONSORS and CONTRACTOR shall determine, the <br />specific tasks from the annual proposal that will be performed dudng the Program year. Should <br />the work plan for the Program year not be finalized at the annual meeting, specific task selection <br />shall be completed by the Steering Committee at its next meeting. <br /> <br />2.04 In addition to the tasks defined in the annual proposal, CONTRACTOR may perform <br />efforts related to the Program with funding from nonmembers under separate agreement. Such <br />participation by nonmembers shall not grant membership in the Program. However, <br />CONTRACTOR may incorporate data obtained from efforts with nonmembers in the Program to <br />the extent CONTRACTOR has authorization to do so. <br /> <br />2.05 In addition to the tasks defined in the annual proposal, CONTRACTOR may perform <br />additional efforts related to the Program with additional funding from members under an <br />additional Scope of Work. CONTRACTOR may incorporate data obtained from the additional <br />efforts with members in the Program to the extent CONTRACTOR has authorization to do so. <br /> <br />2.06 Donations of funds for the general support of the Program may also be made by <br />member and nonmember contdbuting organizations or individuals. Such donor participation <br />shall not grant membership status in the Program. <br /> <br />2.07 CONTRACTOR will act in the capacity of an independent contractor with respect to <br />SPONSORS and wiII perform its work hereunder using its own methods and in accordance with <br />the general guidance of the Steering Committee, but free from direction by any individual <br />SPONSOR. <br /> <br />ARTICLE 3 - SPONSORS <br /> <br />3.01 Participation in the Program is open to all interested parties entering into an <br />Agreement having similar terms and conditions to those contained in this Agreement. <br /> <br />ARTICLE 4 - COMPENSA TION' AND FEES <br /> <br />4.01 SPONSORS shall pay a membership fee of US$5000 for each Program year (June 1 <br />through May 31). The membership fee for the initial Program year starting June 1,2006, shall be <br />due upon execution of this Agreement. The membership fee for subsequent Program years will <br />be due on June 1 of that Program year. CONTRACTOR will issue invoices to facilitate payment <br />of the membership fee for subsequent Program years. <br /> <br />4.02 The distribution of costs between budget categories (labor, travel. supplies, <br />equipment, subcontracts) is for planning purposes only. CONTRACTOR may, as dictated by the <br />needs of the work, reallocate the budget among approved items or use the funds for other items <br />directly related to the Program, subject only to staying within the guidelines of OMB Circulars <br />A-21 and A-lIO. <br /> <br />2 <br />
