Termination by Mutual Agreement Department and Contractor may <br />terminate this contract in wl~lole or in part, at any time, by mutual written <br />agreement <br /> <br />D. Termination by Misrepresentation. Contractor may not misrepresent itself in <br />any information, either oral or written, supplied to Department <br />Misrepresentation is cause for contract termination. <br /> <br />20. NOTICE OF DEFAULT <br /> <br />Department may issue a written notice of default providing a period in which <br />Contractor will have an opportunity to cure the default Default means a failure to <br />comply with the terms of the Contract prior to, during, or after collection events, as <br />determined by Department <br /> <br />21. LEGAL FEES <br /> <br />Contractor agrees that in the event suit is instituted by Department for any default <br />on the part of Contractor, and Contractor is adjudged by a court of competent <br />jurisdiction to be in default, Contractor will pay to Department all costs or attorney's <br />fees incurred by Department <br /> <br />22. INDEPENDENT CONTRACTOR <br /> <br />Contractor will perform as an independent entity under this contract Contractor, its <br />employees, agents and representatives are not State employees. No part of this <br />contract will be construed to represent the creation of an employer/employee <br />relationship. Department does not have the right to control the manner in which the <br />work is completed or other work details except to the extent specified by this <br />contract <br /> <br />23. INSURANCE <br /> <br />Contractor, its successors, or assigns, will secure and keep in force during the term of <br />this contract and for four years thereafter, from insurance companies, government self- <br />insurance pools or government self-retention funds, authorized to do business in North <br />Dakota the following insurance coverages: <br /> <br />A. Commercial General Liability insurance in a form providing coverage not <br />less than that of standard Commercial General Liability insurance policy <br />(occurrence form) $5,000,000 per occurrence, $10,000,000 aggregate limit <br />for bodily injury, property damage, and personal injury. <br /> <br />B. Automobile Liability insurance for not less than $ 1,000,000 combined Single <br />Limit each occurrence for bodily injury and property damage. <br /> <br />8 <br />
