NO 58103 701.241.5723 In consideration of the mutual undertakings herein contained, the parties agree as follows: 1. This MASTER SALES AGREEMENT shall apply to the sale of all hardware and/or software (the "Products") and services purchased by or provided by NACR to CUSTOMER on or after the date of this Master Sales Agreement. The terms set forth herein and in Attachment A attached 'hereto and incorporated herein by reference shall apply to each sale or service described on a Sales Quote or Master Agreement Rider. Each Sales Quote or Master Agreement Rider shall contain an itemized list or all products and/or services to be provided together with the price charged therefor. If Customer submits a purchase order to order a Product or service from NACR, the purchase order must contain the following language: "THE TERMS AND PROVISIONS OF THE MASTER SALES AGREEMENT #M1341 DATED 02.20.06 BY AND BETWEEN NACR AND CASS COUNTY COURTHOUSE APPLY TO THIS PURCHASE ORDER." A Master Sales Agreement shall remain in effect indefinitely unless terminated by either party upon thirty (30) days written notice; provided however, a Master Sales Agreement shall remain in effect until the installation of all product(s) and/or services to be provided are completed. Terms and/or conditions contained in a Sales Quote shall control over any general terms and conditions contained herein or in Attachment A. The Master Sales Agreement and Attachment A shall control in the event of any conflict between CUSTOMER's purchase order or other document provided in connection with the sale of products or the rendition of services. Each Sales Quote or Master Agreement Rider shall be signed and shall be accompanied by Attachment C (Scope of work). 2. PURCHASE PRICE: The purchase price set forth in each Saies Quote or Master Agreement Rider shall be paid as follows: 50% Upon execution of Sales Quote or Master Agreement Rider BAt.ANCE DUE Net 30 days from installation *IfCustorncr delays date of installation more than 60 days from original date of installation through no fault ofNACR, the BALANCE shall become immediately due and payable. >- Progress payments are required in all non-lease transactions. If you elect to convert from a lease to a purchase transaction, please notify your NACR representative for progress payment terms. >- Configured orders, including hardware and software, are non-returnable.
