FIFTH AMENDMENT TO ON-LINE SERVICES AGREEMENT THIS FIFTH AMENDMENT TO ON-LINE SERVICES AGREEMENT (this "Amendment") is made and entered into as of the _ day of 2005, by and between CHOICE POINT GOVERNMENT SERVICES INC. (f/k/a EZGOV, INC.), a Georgia corporation, ("EzGov") and CASS COUNTY, NORTH DAKOTA, a public entity acting by and through its duly elected representatives ("Customer"). W!TNE~~ETH: WHEREAS, EzGov and Customer are parties to an On-line Services Agreement dated August i\ 2000 (the "Services Agreement"), which was amended for the first time on August 10t\ 2001, and was amended for the second time on September 3rd, 2002, and was amended for the third time on September 15th, 2003, and was amended for the 4th time on September 3rd 2004; WHEREAS, Customer desires to renew the Services Agreement for an additional term of one (1) year; WHEREAS, EzGov desires to renew the Services Agreement for a term of one (1) year provided that Customer pays a subscription fee of $10,000.00 for the renewal ternl; and WHEREAS, subject to the terms and conditions set forth herein, the parties desire to amend the Services Agreement as provided herein. NOW, THEREFORE, FOR AND IN CONSIDERATION of the premises, the mutual promises, covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: 1. The term of the Services Agreement is hereby extended for an additional period of one (1) year from the Effective Date (as defined in the Services Agreement) subject to Customer's payment of a subscription fee equal to Ten Thousand and NollOOths Dollars ($10,000.00) to EzGov for such period due and payable in full within thirty (30) days of the date first above written. 2. Except to the extent expressly modified or altered hereby, the parties hereto acknowledge and agree that all terms, provisions, covenants and conditions of the Services Agreement shall be and remain in full force and effect, and shall constitute the legal, valid, binding and enforceable obligations of the parties hereto.
