5.1 5.2 5.3 6.1 6.2 6.3 6.4 6.5 6.6 6.7 Article V Non-Discrimination, Severability, Corporate Compliance and Notices Non-Discrimination. Neither party shall refuse to provide Services, or discriminate in the provision of Services, to any CCSD client, in any manner which is or would be contrary to any applicable state or federal law. If either party to this agreement discovers a violation of this provision, said party shall notify the other party in writing immediately. Severability. Should any one or more of the provisions of this Agreement for any reason be declared invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provision of this Agreement, and this Agreement shall be construed as if such invalid, illegal or unenforceable provision had never been contained herein. Notices. All notices, demands, requests and other communications shall be in writing and shall be deemed to have been give upon actual delivery or three (3) business days subsequent to mailing by certified United States mail, addressed as follows: If to FHC: Family HealthCare Center Attn: Contract Administration 306 4th Street North Fargo, ND 58102 If to CCSD: Cass County Sheriff's Department Attn: Chair, Cass County Commission 213 9th Street South Fargo, ND 58107 Article VI General Assignment and Binding Effect. This agreement is not transferable. As a service agreement, neither party may assign this Agreement or delegate duties under this Agreement to any other party. Headines. The paragraph headings used in this Agreement are included solely for convenience and shall not affect, or be used in connection with, the interpretation of this Agreement. No Third Party Beneficiaries. The parties to this Agreement have not entered into this Agreement for the benefit of any third party and do not intend that any benefits of this Agreement inure to the benefit of any third party. Entire Agreement. This Agreement and its Exhibits constitute the entire Agreement between the parties hereto with respect to the subject matter hereof, and supersede all prior agreements, understanding, promises and representations concerning the subject matter hereof. Non-Exclusivity. Nothing in this Agreement shall be construed to create an exclusive relationship between FHC and CCSD. Amendments. Any of the terms of this agreement, and its exhibits, may only be modified by mutual agreement of the parties incorporated in proper written amendments to the Agreement signed by both parties.
