2.03 The Program year shall be from March 1 through February 28. CONTRACTOR shall <br />provide an annual proposal which will set forth potential tasks to be performed in the Program year. <br />At the annual Program meeting, SPONSORS and CONTRACTOR shall determine the specific tasks <br />from the annual proposal that will be performed during the Program year. Should the work plan for <br />the Program year not be finalized at the annual meeting, specific task selection shall be completed by <br />the Steering Committee at its next meeting. <br /> <br /> 2.04 In addition to the tasks defined in the annual proposal, CONTRACTOR may perform <br />efforts related to the Program with funding from nonmembers under separate agreement. Such <br />participation by nonmembers shall not grant membership in the Program. However, CONTRACTOR <br />shall incorporate data obtained from efforts with nonmembers in the Program to the extent <br />CONTRACTOR has authorization to do so under the separate nonmember agreements. <br /> <br /> 2.05 Donations of funds for the general support of the Program may also be made by member <br />and nonmember contributing organizations or individuals. Such donor participation shall not grant <br />membership status in the Program. <br /> <br /> 2.06 CONTRACTOR will act in the capacity of an independent contractor with respect to <br />SPONSORS and will perform its work hereunder using its own methods and in accordance with the <br />general guidance of the Advisory Committee, but free from direction by any individual SPONSOR. <br /> <br />ARTICLE 3 - SPONSORS <br /> <br /> 3.01 Participation in the Program is open to all interested parties entering into an Agreement <br />having similar terms and conditions to those contained in this Agreement. <br /> <br />ARTICLE 4 - COMPENSATION AND FEES <br /> <br /> 4.01 SPONSORS shall pay a membership fee of USS5000 for each Program year (March 1 <br />through February 28). The membership fee for the initial Program year starting March 1, 2001, shall <br />be due upon execution of this Agreement. The membership fee for subsequent Program years will be <br />due on March 1 of that Program year. CONTRACTOR will issue invoices to facilitate payment of <br />the membership fee for subsequent Program years. <br /> <br /> 4.03 The distribution of costs between budget categories (labor, travel, supplies, equipment, <br />subcontracts) is for planning purposes, only. CONTRACTOR may, as dictated by the needs of the <br />work, reallocate the budget among approved items or use the funds for other items directly related to <br />the Program, subject only to staying within the guidelines of OMB Circulars A-21 and A-110. <br /> <br />ARTICLE 5'- STEERING COMMITTEE <br /> <br /> 5.01 Each SPONSOR may assign one representative to serve as a member of the Steering <br />Committee. The primary purpose of the Steering Committee is to provide a mechanism for <br />communications between CONTRACTOR and SPONSORS. The Steering Committee will <br />tentatively meet annually on or about March 1 and at such other times as agreed by a simple majority <br />of the Steering Committee members to review Program status and provide input to CONTRACTOR. <br />All actions of the Steering Committee will require approval by a simple majority of all Steering <br />Committee members. <br /> <br /> <br />
