ARTICLE 12 - SUCCESSORS AND ASSIGNS <br /> <br /> 12.01 This Agreement shall be binding upon and inure to the benefit of the parties to this <br />Agreement and their successors and permitted assigns; provided, however, that the rights and <br />obligations of CONTRACTOR hereunder may not be assigned, by operation of law or otherwise, <br />without the prior written consent of SPONSOR. Nothing in this paragraph shall prevent <br />CONTRACTOR from employing such independent consultants, associates, and subcontractors as it <br />may deem appropriate to assist it in the performance of this Agreement. <br /> <br /> 12.02 Nothing herein shall be construed to give any rights or benefits hereunder to anyone <br />other than SPONSOR and CONTRACTOR. <br /> <br />ARTICLE 13 - INDEMNIFICATION <br /> <br /> 13.01 Each Party shall be responsible for claims, losses, damages, and expenses which are <br />proximately caused by the negligence or wrongful acts or omissions of that Party or its employees, <br />agents, or representatives acting within the scope of their employment. The liability of the <br />CONTRACTOR is subject to the limitations contained in chapter 32-12.2 of the North Dakota <br />Century Code. Nothing herein shall preclude either Party fi'om asserting against third parties any <br />defenses to liability it may have under the law or be construed to create a basis for a claim or suit <br />when none would otherwise exist. This provision shall survive the termination of this Agreement. <br /> <br />ARTICLE 14 - GENERAL <br /> <br /> 14.01 This Agreement shall be interpreted and construed according to the laws of the state of <br />North Dakota. <br /> <br /> 14.02 In the performance of this Agreement, CONTRACTOR agrees to comply with Section <br />602 of the Civil Rights Act of 1964, Section 503 of the Rehabilitation Act of 1973, the American <br />Disabilities Act of 1990, Title IX of the Education Amendments of 1972, the Age Discrimination <br />Act of 1975, Executive Order 11246 regarding Equal Employment Opportunity, and the Vietnam Era <br />Veterans Readjustment Assistance Act of 1972. The above laws, orders, and regulations prohibit <br />discrimination against any person by reason of race, color, religion, national origin, sex, age, or <br />status as a handicapped person, disabled veteran, or veteran of the Vietnam Era. <br /> <br /> 14.03 Ail notices, reports, and other correspondence with respect to the Program shall be <br />mailed postage paid to the addresses given below: <br /> <br />Contractor: <br /> <br />Technical Notices <br />Daniel J.
