Third Amendment to Joint Powers Agreement <br />City of Fargo <br />Cass County Joint Water Resource District <br />County of Cass <br /> <br /> <br />3 <br />provide necessary office space, supplies, equipment and other support; <br />5. Assist in the planning, design and development of the Project, including land <br />acquisition and construction of the Project; <br />6. Enforce the terms of this Agreement, including requiring one or more parties to this <br />agreement to fulfill its obligations as defined herein; <br />7. Perform all acts expressly authorized by the parties to this Agreement, unless <br />prohibited by statute or otherwise; <br />8. Delegate tasks to one or more of the parties to this Agreement, unless prohibited by <br />statute or otherwise; <br />9. Create Committees to provide technical, financial and legal assistance or other <br />assistance to the Board and to provide for the duties and membership thereof, as may <br />be set forth more fully below; <br />10. Procure the services of engineers, contractors, consultants and other persons or <br />entities for the planning, design and development of the Project; <br />11. Enter into contracts or other arrangements with the United States Government or any <br />department thereof, municipalities, counties, water resource or watershed districts, <br />states or any agency thereof, persons, railroads, companies or corporations, for <br />cooperation or assistance in designing, developing and constructing the Project and <br />acquiring and maintaining the necessary lands, easements and rights of way for the <br />Project, including contracts, joint powers agreements or other arrangements for <br />advancing funds for project purposes and for recouping some or all of such funds <br />including, without limitation, entering into such contract(s), joint powers <br />agreement(s) or other arrangements with the city of Oxbow, North Dakota, for <br />purposes of constructing and installing a ring-levee, providing for replacement <br />property and the infrastructure supporting such replacement property and any other <br />purposes as may be necessary and appropriate for the furtherance of the Project; and, <br />12. Lobby for state and/or Federal funds for the Project. <br />13. Lobby for federal authorization or other approval as may be directed by the <br />Diversion Authority. <br />14. To indemnify and hold harmless the Non-Federal Sponsors as described in Article <br />VII of the Metro Flood JPA. <br />15. To acquire insurance.
