<br />following the granting of Associate Membership). Associate Members shall be <br />responsible for 20% of costs associated with budgeted work for done exclusively <br />for that jurisdiction through their respective county. Associate Members <br />admitted under this provision shall be brought in as full members of the Board <br />upon the next decennial census of population. <br />i. Harwood, North Dakota and Glyndon, Minnesota shall be entitled to be Associate <br />Members and will each provide a member to the Policy Board with Ex-Officio <br />status and a member to the Transportation Technical Committee with Ex-Officio <br />status. <br /> <br />2. Term of Office: Members of the Council serve at the discretion of their respective <br />governing bodies. <br /> <br />3. Vacancies: Any vacancy shall be filled as soon as possible, and approval of such <br />appointment shall be by the affected governing body. <br /> <br />4. Certification: Each member and alternate for the upcoming year shall be certified by <br />means of a letter which shall become part of the records of the Council. This letter should <br />be submitted to the Council at its January meeting. In the event of unanticipated vacancies <br />or membership changes, the local governing body shall certify its appointments to the <br />Council by letter at an official Council meeting. <br /> <br />5. Officers: The Officers shall consist of a Chairman, Vice Chairman, and Executive Director. <br /> <br />a. Chairperson - The Chairperson shall preside at all meetings of the Council. <br />b. Vice Chairperson - The Vice Chairperson shall exercise the functions of the Chair in <br />his/her absence or incapacity. <br />c. Executive Director - The Executive Director shall exercise the functions of the <br />authorized recording officer of the Council and shall be empowered to execute official <br />instruments of the Council as authorized by the Councilor Executive Committee. <br /> <br />ARTICLE V. <br /> <br />Executive Committee: <br /> <br />1. The executive business of the Council shall be managed by an Executive Committee <br />consisting of six Policy Board members; one from each of the voting member local <br />jurisdictions. <br /> <br />2. The Executive Committee shall have the power to authorize the expenditure of funds, to <br />enter into contracts, and to execute official instruments after being authorized by the <br />Council. Further powers as delegated by the Council include those enumerated in COGs <br />Operations Manual. <br /> <br />3 <br />
