brought or actions <br />respect to the subject <br />actions are rightfully <br /> <br />filed against the party of the first part with <br /> of this agreement, whether such claims or <br /> or wrongfully brought or filed, and to <br /> <br />assume all costs incurred by the party of the first part therein. <br />In the event an action should be filed with respect to the subject <br />of the indemnity herein, the party of the second part agrees that <br />the party of the first part may also employ an attorney of the <br />selection of the party of the first part to appear and defend the <br />action, on behalf of the party of the first part, and at the ex- <br />pense of the party of the second part. <br /> <br /> This contract may be modified only be express mutual written <br />modification of the parties hereto. Either party may propose to <br />the other a change, and upon such being agreed upon, in writing, <br />such shall then be a part of the contract between the parties. <br /> <br /> This contract shall remain in full force and effect for a <br />period of one year from the date hereof. <br /> <br /> The party of the second part reserves the right to enter the <br />Stutsman County Combined Law Enforcement Center at reasonable <br />hours for the purpose of inspecting the same and determining <br />the conditions under which the prisoners are housed. Nothing <br />herein shall be construed to absolve the party of the second part <br />from its statutory and common law obligations toward the prisoners <br />of the party of the second part who may be housed in the said <br />facility. <br /> <br />The party of the second part acknowledges that only by the <br />party of the second part assuming full responsibility for the pris- <br /> <br />-3- <br /> <br /> <br />
