brought or actions respect to the subject actions are rightfully filed against the party of the first part with of this agreement, whether such claims or or wrongfully brought or filed, and to assume all costs incurred by the party of the first part therein. In the event an action should be filed with respect to the subject of the indemnity herein, the party of the second part agrees that the party of the first part may also employ an attorney of the selection of the party of the first part to appear and defend the action, on behalf of the party of the first part, and at the ex- pense of the party of the second part. This contract may be modified only be express mutual written modification of the parties hereto. Either party may propose to the other a change, and upon such being agreed upon, in writing, such shall then be a part of the contract between the parties. This contract shall remain in full force and effect for a period of one year from the date hereof. The party of the second part reserves the right to enter the Stutsman County Combined Law Enforcement Center at reasonable hours for the purpose of inspecting the same and determining the conditions under which the prisoners are housed. Nothing herein shall be construed to absolve the party of the second part from its statutory and common law obligations toward the prisoners of the party of the second part who may be housed in the said facility.
