CONTRACT FOR SERVICES <br /> <br /> THIS CONTRACT is entered into effective as of the 1st day of January, 2002, by <br />and between CASS COUNTY, NORTH DAKOTA, a political subdivision of the State of <br />North Dakota, (the "County") and FARGO CASS COUNTY ECONOMIC DEVELOPMENT <br />CORPORATION, a North Dakota non-profit corporation, (the "FCCEDC"). <br /> <br />Preliminary Statement <br /> <br /> The FCCEDC is engaged in facilitating economic development in Cass County, <br />North Dakota. County desires to utilize the services of FCCEDC as provided in this <br />Contract and FCCEDC is willing to provide those services for the County. <br /> In consideration of the mutual promises set forth herein, it is agreed as follows: <br /> <br /> 1. Description of Work. FCCEDC and/or additional third party contractors <br /> shall: <br /> <br /> (a) Workforce Development Initiate a "Pilot" skills development program <br /> targeted towards the underemployed and refugee populations. The goals <br /> are to increase the skill levels of interested applicants who seek <br /> employment in the manufacturing sector. Outcomes will be established <br /> and successful job placements will be reported in the Fall of 2002. <br /> 2. Compensation. County shall pay to FCCEDC for its services hereunder in <br />2002 the amount of $100,000. FCCEDC shall be responsible for its expenses including <br />out of pocket expenses, in providing the services to the County. <br /> 3. Term. The term of this Contract shall be for the calendar year 2002. This <br />Agreement may be renewed for the year 2003 and subsequent years in the event both <br />parties mutually agree in writing. <br /> 4. Independent Contractor Status. Nothing in this Contract shall constitute <br />either party hereto, the agent for the other party for any purpose. FCCEDC shall be <br />deemed to be an independent contractor with full control over the manner and method of <br />its performance hereunder. No part of this Contract shall be construed to create an <br />employer-employee relationship. The FCCEDC, its officers, employees, agents and <br />representatives are not employees of the County for ail purposes including, but not limited <br />to, the application of the Social Security Act, the Fair Labor Standards Act, the Federal <br />Insurance Contribution Act, the Federal Unemployment Act, the North Dakota <br />Unemployment Compensation Law and the North Dakota Workers' Compensation Act. <br />The FCCEDC shall be responsible for, among other things, any federal or state taxes <br />applicable to any payments under this Contrac!. <br /> 5. Indemnity: FCCEDC shall comply with all federal, state and local laws and <br /> <br /> <br />
