The rights and remedies of COUNTY provided in the above clauses related to defaults, including breach of contract, by Provider shall not be exclusive and are in addition to any other rights and remedies provided by law or under this contract. IX. ACCESS TO RECORDS: COUNTY, Office of Attorney General of the State of North Dakota, the Federal Government, and their duly authorized representatives, shall have access to the books, documents, paper and records of Provider and any subcontractors which are pertinent, as determined by COUNTY, to this contract for the purpose of making audit, examination, excerpts, and transcripts. X. RETENTION OF RECORDS: Provider agrees to retain financial program records for a minimum period of three (3) years. XI. CONFIDENTIALITY: Provider will not, except upon the written consent of the recipients or their responsible parent, guardian, or custodian, use or cause to be used any information concerning such individual for any purpose not directly connected with COUNTY's or Provider's responsibilities with respect to services purchased hereunder. XII. ASSIGNMENT: Provider shall not assign this agreement. XIII. APPLICABLE LAW: This agreement shall be governed by and construed in accordance with the laws of the State of North Dakota. XlV. CAPTIONS: The captions or headings in this agreement are for convenience only and in no way define, limit, or describe the scope or intent of any provisions of this agreement. XV. EXECUTION AND COUNTERPARTS: This agreement may be executed in several counterparts, each of which shall be an original, all of which shall constitute but one and the same instrument. XVl. AMENDMENTS: The terms of this agreement shall not be waived, altered, modified, supplemented, or amended, in any manner whatsoever, except by written instrument signed by the parties.
