Document #772634, a copy of which is attached hereto r mar}:ed Exhibit c, and incorporated by reference; WHEREp.S, pursuant to the terms of Exhibit C, the parties have caused to be recorded two deeds dated April 6, 1992 r which were filed with the Register of Deeds for Cass County, North Dakota, on December 22, 1992, as Documents #772633 and #772632. Copies of said deeds are attached hereto, marked Exhibit D and E r respectively, and each is incorporated by reference; WrlEREAS, the Agreement dated April 6, 1992, reflected a desire to significantly alter the relationship of the parties with respect to the real property by terminating any interest possessed by the Red River Valley Fair Association as to certain portions of} said real >property and also terminating any interest possessed by Cass County as to certain other portions of said real property; WHEREAS, the parties recognized that it might be necessary for the Cass County Campsite be returned to Cass County 1 North Dakota 1 for the duration of the term of the original lease agreement which will terminate 1 according to its terms 1 on December 31, 2004; NOW1 THEREFORE 1 IT IS HEREBY AGREED AS FOLLOWS: 1. The Agreement dated April 181 1979 [Exhibit AJ whereby a portion of the above described real property was developed as a campsite known as the Cass County Campsitel under a lease agreement for an initial term of twenty-five years 1 cOTnTI\encing on January 1 r 1979, and terminating on December 311 2004, shall be fully reinstated.
