<br />shall see that all directives and resolutions of the board are carried into effect; and (d) shall perform <br />such other duties as may from time to time be assigned by the board. During any absence or <br />disability of the chief administrative officer, the F-CCEDC Executive Committee shall select a person <br />to fulfill those responsibilities. <br /> <br />Section 9. OTHER OFFICERS. The Assistant Secretaries and Assistant <br />Treasurers, in the order of their seniority unless otherwise determined by the Board of Directors, <br />shall, in the absence or disability of the Secretary or Treasurer, perform the duties and exercise <br />the powers of the Secretary and Treasurer respectively. Such Assistant Secretaries and <br />Assistant Treasurers shall have such other powers and perform such other duties as the Board of <br />Directors may from time to time prescribe. Any other Officers appointed by the Board of Directors <br />and shall have such powers, perform such duties and be responsible to such other Officers as the <br />Board of Directors may from time to time prescribe. <br /> <br />ARTICLE VI. <br />Contracts. loans. Checks and Deposits <br /> <br />Section 1. CONTRACTS. The Board of Directors may authorize any officer or <br />officers, agent or agents, to enter into any contract or execute and deliver any instrument in the <br />name of and one behalf of the CorPoration and such authority may be general or confined to <br />specific instances. <br /> <br />Section 2. lOANS. No loans shall contracted on behalf of the Corporation and no <br />evidence of indebtedness shall be issued in its name unless authorized by a resolution of the <br />Board of Directors. Such authority may be general or confined to specific instances. <br /> <br />Section 3. CHECKS. DRAFTS. ETC. All checks, drafts or other orders for the <br />payment of money, notes or other evidence of indebtedness issued in the name of.. th_e <br />Corporation, . shall be signed . by such öfficerör officers, agent or agenfsof the Corporation and in <br />such manner as shall from time to time be determined by resolution of the Board of Directors. <br /> <br />Section 4. DEPOSITS. All funds of the Corporation not otherwise employed shall <br />be deposited from time to time to the credit of the Corporation in such banks, trust companies or <br />other depositories as the Board of Directors may select. <br /> <br />ARTICLE VII. <br />Governmental Entities Administration <br /> <br />Section 1. ADMINISTRATIVE AGREEMENT AND INDEMNIFICATION. The <br />governmental entities of CASS COUNTY, NORTH DAKOTA, the CITY OF FARGO, and the CITY <br />OF WEST FARGO, grant the Corporation the authority to administer the financial programs <br />established with funds contributed by the governmental entities as part of the agreement made <br />and entered into on the 14th day of February, 1997. These funds contributed by the governmental <br />entities are listed in Exhibit "An 'Governmental Entity Contributions'. <br /> <br />To the extent any claims are not otherwise covered by insurance, the govemmental <br />entities hereby agree to indemnify, save harmless and defend the Corporation and its employees <br />and agents and the F-CCEDC and its agents and employees who will be providing administrative <br />services to the Corporation, from any and all costs, expenses (including attorney's fees and <br />costs), liabilities, claims or causes of action arising out of or relating to the administration of the <br />Corporation, provided that the person indemnified acted in good faith and the act or omission did <br />not constitute willful misconduct or gross negligence. <br />
