<br />deliver them to the Trustee for authentication and delivery to State Bank & Trust, Fargo, North <br />Dakota (the "Bond Purchaser"). <br /> <br />6. The Chair of the Board of County Commissioners and County Auditor and other <br />officers of the County are authorized and directed to prepare and furnish to the Bond Purchaser a <br />certified copy of all proceedings and records of the County relating to the Bonds and such other <br />affidavits and certificates as maybe required to show the facts relating to the legality of the Bonds, <br />as such facts appear from the books and records in the Officers custody and control or as otherwise <br />known to them; and all such certified copies, certificates and affidavits concluding any heretofore <br />furnished, shall constitute representations of the County as to the truth of all statements contained <br />therein. <br /> <br />7. The approval hereby given to the various documents referred to above includes <br />approval of such additional details therein as may be necessary and appropriate and such <br />modifications thereof, deletions therefrom and additions thereto as may be necessary and appropriate <br />and approved by the County's counsel and the County officials authorized herein to execute said <br />documents; and said County officials are hereby authorized to approve said changes on behalf of the <br />County. The execution of any instrument by the appropriate officer or officers of the County herein <br />authorized shall be conclusive evidence of the approval of such documents in accordance with the <br />terms thereof. In the absence of the Chair of the Board of County Commissioners or County <br />Auditor, any of the documents authorized by this Resolution to be executed may be executed by <br />acting Chair of the Board of County Commissioners or the acting County Auditor, respectively. <br /> <br />8. The County hereby designates the Bonds as "qualified tax-exempt obligations" for <br />purposes of paragraph (3) of Section 265(b) of the Internal Revenue Code of 1986, as amended (the <br />"Code"), and covenants that the Bonds constitute qualified 501 (c )(3) bonds as defined in Section 145 <br />of the Code, and that not more than $10,000,000 aggregate principal amount of obligations the <br />interest on which is excludable (under Section 1O3(a) of the Code) from gross income for federal <br />income taxes (excluding, however, private activity bonds, as defined in Section 141 of the Code, <br />other than qualified 501(c)(3) bonds as defined in Section 145 of the Code), including the Bonds, <br />have been or shall be issued by the County including all subordinate entities of the County, during <br />the calendar year 2004. <br /> <br />Dated: December 20, 2004. <br /> <br />Approved: <br /> <br />Chair of the Board of County Commissioners <br /> <br />Attest: <br /> <br />County Auditor <br /> <br />-3- <br />
