The Board of Commissioners of each Member County will appoint one person and <br /> one or more alternates to participate on an Advisory Board and act as a liaison with <br /> the other Member Counties under this agreement. This Advisory Board shall <br /> continue to operate hereunder and need not be reappointed by each member Board. <br /> Those previously appointed will continue to serve unless a Member County elects to <br /> make a new appointment. This person may be a County Commissioner, Sheriff, <br /> Administrator, or corrections professional. The Facility Administrator shall serve as <br /> an ex officio, non-voting member of the Advisory Board. <br /> Section 7.02: Duties of Advisory Board <br /> The Advisory Board shall have the following duties: <br /> a. Review and comment on Clay County's proposed annual Facility <br /> operating budget, per diem charges and determination of the minimum <br /> number of occupied beds necessary to operate the facility prior to <br /> adoption by the Clay County Board of Commissioners; and <br /> b. Assist in the ongoing coordination of the use of the Facility, including bed <br /> usage and bed allocation; and <br /> c. Assist in the development of the programs offered at the facility; and <br /> d. Assist in other matters relating to the Facility as requested by Clay County. <br /> The Advisory Board will serve in an advisory capacity to the Clay County Board of <br /> Commissioners. The ultimate authority regarding budgetary decisions and day-to-day <br /> operations of the Facility shall rest with the Clay County Board of Commissioners <br /> through the Facility Administrator. <br /> Section 7.03: Voting <br /> The Advisory Board shall function by majority vote. A majority vote of a quorum that <br /> is present will carry any action, unless this agreement states otherwise. Each Member <br /> County shall have one vote. Additionally, each Member County shall have one vote <br /> for each annual bed it purchases, rounded up. One representative or an alternate of a <br /> Member County needs to be present in order to cast that Member County's vote(s). <br /> Voting by proxy shall not be allowed. <br /> Section 7.04: By-Laws <br /> - 6 - <br />
