Section 14.04: Damages <br /> In the event of a party's failure to perform obligations under this Agreement, that party <br /> shall be liable to the other parties for any and all damages reasonably sustained by the <br /> other parties as a result of such failure. <br /> Section 14.05: Failure to Pay <br /> If a Member County's payment due under this Agreement becomes delinquent by <br /> 120 days or more, Clay County may refuse to admit juveniles from the Member <br /> County until the Member County's account becomes current. <br /> Section 14.06: Remedies Cumulative <br /> All remedies provided for herein or otherwise available at law or equity shall be <br /> cumulative. The election of any remedy shall not bar other remedies available to the <br /> party. <br /> Section 14.07: Waiver of Default <br /> The waiver of any default by any party, or the failure to give notice of any default, <br /> shall not constitute a waiver of any subsequent default or be deemed to be a failure <br /> to give such notice with respect to any subsequent default. The making or <br /> acceptance of a payment by any party with knowledge of the existence of a default <br /> shall not operate or be construed to operate as a waiver of any subsequent default. <br /> Section 14.08: Subcontracts, Assignment <br /> A Member County, other than Clay County, may not subcontract, and no Member <br /> County may assign or otherwise transfer its obligations under this Agreement without <br /> consent of all parties to this Agreement, which consent shall not unreasonably be <br /> withheld. <br /> Section 14.09: Successors <br /> Each Member County binds itself and its successors, legal representatives, and <br /> assigns to the other parties and to the partners, successors, legal representatives, <br /> and assigns of such other parties, in respect to all rights and obligations under this <br /> Agreement. <br /> IN WITNESS WHEREOF, the parties to this Agreement have hereunto set <br />
