The Loan Agreement, the Assignment of Loan Agreement and the Series 2014 Note are <br /> collectively defined as the "Note Documents." <br /> 1.4. Proceeds of the Series 2014 Note shall be disbursed in accordance with the <br /> Loan Agreement. <br /> Section 2. Determination to Proceed with the Issuance of the Series 2014 Note; <br /> Approval and Execution of Documents. <br /> 2.1. The County hereby approves the issuance of the Series 2014 Note under <br /> the Act and the loan of the proceeds of the Series 2014 Note to the Corporation in <br /> accordance with the Loan Agreement. <br /> 2.2. The forms of the Note Documents submitted to this Board are hereby <br /> approved, with such additions or modifications thereto and deletions therefrom as may be <br /> approved by the Chair and the County Auditor prior to the execution and delivery <br /> thereof, such approval to be conclusively evidenced by the execution and delivery thereof <br /> by the appropriate officers of the County. The Note Documents are hereby made a part of <br /> this Resolution as fully as though set forth in full herein. <br /> 2.3. The Chair and the County Auditor are hereby authorized and directed to <br /> execute and deliver the Note Documents in the name and on behalf of the County. <br /> 2.4. The Chair, the County Auditor and the other officers of the County are <br /> hereby authorized and directed to prepare and furnish to the Purchaser and to Bond <br /> Counsel certified copies of all proceedings and records of the County relating to the <br /> Series 2014 Note and such other affidavits and certificates as may be required to show <br /> the facts relating to the legality and marketability of the Series 2014 Note as such facts <br /> appear from the books and records in the officers' custody and control or as otherwise <br /> known to them. All such certified copies, affidavits and certificates, including any <br /> heretofore furnished, shall constitute representations of the County as to the truth of all <br /> statements contained therein. <br /> 2.5. In the absence of the Chair or the County Auditor, any of the documents <br /> authorized by this Resolution to be executed and delivered may be executed and <br /> delivered by the acting or deputy Chair or County Auditor, respectively. <br /> Section 3. Issuance and Sale of the Series 2014 Note. <br /> 3.1. The County shall proceed forthwith to issue the Series 2014 Note. The <br /> Chair and the County Auditor are hereby authorized and directed to cause the Series 2014 <br /> Note to be prepared and to execute the Series 2014 Note by manual or facsimile <br /> signatures, to cause the corporate seal of the County (which may be facsimile) to be <br /> affixed thereto, to deliver the Series 2014 Note to the Purchaser, and to deliver to the <br /> Purchaser a certified copy of this Resolution and all other documents required by the <br /> Loan Agreement. <br /> 2 <br />
