the effective date of the state or federal law, rule, regulation, guideline or safe harbor <br /> regulation that necessitated the amendment or the expiration date of the then current term, <br /> whichever date is earlier. <br /> 9. Non-Exclusion. Sanford certifies as of the execution of this Agreement <br /> and continuing through the terms of this Agreement, that neither it, its shareholders, <br /> owners, or providers have been excluded from participation in any federal or state <br /> Medicare, Medicaid, or any other third party payor program, nor is any such action <br /> pending. Sanford shall immediately notify Jail if such action is threatened or proposed. If <br /> at any time Sanford, its shareholders, owners or providers have been excluded, as <br /> described above, then Jail may immediately terminate this Agreement. <br /> 10. Non-Discrimination. Neither party shall exclude, deny benefits to, or <br /> otherwise discriminate against any person on the ground of race, color, national origin, <br /> creed, religion, sex, disability, age, marital status, veteran status, status with regard to <br /> public assistance, or sexual orientation in admission to, participation in, or receipt of the <br /> services and benefits of any of the parties' programs and activities or in employment <br /> therein. <br /> 11. Confidentiality and Access to Information Both Sanford and Jail agree <br /> that all information regarding patients, as well as all information with respect to the <br /> operations and business of the other party gained during this negotiations leading up to <br /> this Agreement, and from the performance of this Agreement, will be held in confidence <br /> and will not be divulged to any unauthorized person without prior written consent of the <br /> other, except for access required by law, regulation, and third party reimbursement <br /> agreements. The provisions of this paragraph shall survive the termination of this <br /> agreement. <br /> 12. Government access to books and records. In accordance with Section <br /> 1861(VXI) of the Social Security Act relating to costs incurred by a provider in <br /> connection with matters for which payment may be made under such Act with respect to <br /> any services furnished pursuant to a contract between the provider and any of its <br /> subcontractors, it is hereby agreed that until the expiration of four (4) years after the <br /> furnishing of such services pursuant to this contract, Sanford shall make available upon <br /> written request to the Secretary of Health and Human Services or the Comptroller <br /> General or any of their duly authorized representatives, this contract and the books, <br /> documents, and records of Sanford which are necessary to certify the nature and extent of <br /> such costs. Furthermore, if Sanford carries out any of the duties of the contract, with the <br /> value or costs of$10,000 or more over 12 month period, with a related organization, such <br /> subcontract shall contain a clause to the same effect requiring the related organization to <br /> make such books and records available in the same manner. <br /> 13. Miscellaneous. <br /> (a) The captions appearing herein are for the convenience only and are not a part <br /> of this agreement nor do they limit or amplify any term or provision herein. <br />
