SERVICE AGREEMENT <br /> This agreement is made effective on April 1, 2014 between Sanford Medical <br /> Center (hereafter "Sanford"), and Cass County North Dakota("Jail"). <br /> WHEREAS, Sanford contracts for the services of psychiatrists licensed and <br /> trained to provide health care services in the state of North Dakota; <br /> WHEREAS, Jail desires to hire Sanford as an independent contractor to provide <br /> professional services for inmates at the Cass County Jail in Fargo, North Dakota, as <br /> outlined herein; <br /> NOW THEREFORE, in consideration of the covenants herein contained, the <br /> parties hereto have entered into this agreement under the terms and conditions set forth <br /> below: <br /> 1. Agreement. Jail hereby contracts with Sanford, and Sanford agrees to <br /> provide to Jail, the services of a licensed psychiatrist for providing face-to-face and <br /> phone consultation for evaluations and medication reviews for Jail inmates (the <br /> "Services"). Sanford appoints Dr. Naveed Haider or another qualified designee to <br /> perform the Services under this Agreement. Sanford will provide the Services as needed, <br /> pursuant to a schedule mutually agreeable to the Parties. Other than providing the <br /> Services as set forth herein and as scheduled by mutual agreement of the parties, Sanford <br /> will not be obligated to perform any follow-up with inmates, either during their term of <br /> incarceration or upon their release. <br /> 2. Qualifications. During the entire term of this Agreement, Sanford <br /> psychiatrist will retain licenses to perform the Services in North Dakota. In addition, <br /> Sanford shall ensure that each psychiatrist providing services under this agreement: (a) Is <br /> competently and adequately trained to provide the Services; (b) Is qualified and eligible <br /> to provide the Services to beneficiaries under all federally-funded health care programs, <br /> including, without limitation, the Medicare and Medicaid programs; and (c) Is not and at <br /> no time has been excluded from participation in any federally-funded health care <br /> program, including, without limitation,the Medicare or Medicaid programs. <br /> 3. Jail Responsibilities; Medical Records. During the term of this <br /> Agreement, Jail agrees to provide secure exam rooms as appropriate; appropriate office <br /> space, reception services and office equipment as shall be mutually agreed to by the <br /> parties; and adequate security for the safety of psychiatrist and inmates. <br /> Jail will provide Sanford with access to all medical records necessary for <br /> providing services under this Agreement. At all times during this Agreement and after its <br /> termination, Jail will have complete, unrestricted ownership of all images and medical <br /> records. <br /> Upon reasonable request by Sanford, Jail will provide training to Sanford <br /> personnel related to Jail's policies, procedures and systems. <br />
