EXHIBIT A CASS COUNTY, NORTH DAKOTA NOTICE OF PUBLIC HEARING ON A PROPOSED PROJECT AND THE ISSUANCE OF REVENUE BONDS UNDER THE MUNICIPAL INDUSTRIAL DEVELOPMENT ACT OF 1955,NORTH DAKOTA CENTURY CODE, CHAPTER 40-57 NOTICE IS HEREBY GIVEN pursuant to Section 147(f) of the Internal Revenue Code of 1986, as amended (the "Code") and Sections 40-57-04 and 40-57-04.1 of the Municipal Industrial Development Act of 1955, North Dakota Century Code, Chapter 40-47 (the "Act") that the Board of County Commissioners of Cass County, North Dakota (the "County") will meet on Monday, June 16, 2014, at 3:30 p.m. in the County Commission Room in the Cass County Courthouse located at 211 Ninth Street South, Fargo, North Dakota, for the purpose of holding a public hearing on a proposal that the County issue revenue bonds or notes, whether taxable or tax exempt, in one or more series (the "Bonds") under the Act and Sections 103 and 145 of the Code to finance the costs of a proposed project described as constructing and equipping a 125,000 square foot expansion to the in-patient hospital facilities located at 3000 — 32nd Avenue South, Fargo, North Dakota, and related remodeling, in order to provide improved and enhanced diagnostic, treatment, registration and dietary services (the "Project") and to finance the costs of issuing the Bonds. The maximum aggregate principal amount of the Bonds to be issued for the Project is not expected to exceed $50,000,000, and will include other costs allowed under Section 40-57-07 of the Act not financed by other sources, including a portion of the costs of issuance of the Bonds. The proposed Project is owned and operated by Innovis Health, LLC, the sole member of which is Essentia Health, a Minnesota nonprofit corporation (the "Corporation"). The Bonds shall be limited obligations of the County, and the Bonds and interest thereon shall be payable solely from the revenue pledged to the payment thereof and may be secured by a pledge, guaranty, mortgage or other encumbrances on the subject property. No holder of the Bonds shall ever have the right to compel any exercise of the taxing power of the County or the State of North Dakota (the "State") to pay the Bonds, or the interest thereon, nor to enforce payment against any property of the County or the State except money payable by the Corporation and pledged to the payment of the Bonds. As required by the Act, notice is hereby given that the Project may compete with existing enterprises. All persons interested may appear and be heard at the time and place set forth above, or may file written comments with the County Auditor prior to the date of the hearing set forth above.
