RECITALS: WHEREAS, Fargo has developed a computer program pertaining to records management and computer aided dispatch which, along with the user's manual, is protected by copyright and which is installed in Fargo's computer system. [Said computer program shall be cumulatively referred to as the "Computer Aided Dispatch and Records Management System" and, when separated into two "parts" or programs shall be referred to as (1) Fargo's "Computer Aided Dispatch System", which is deemed to include Fargo's computer system that supports the programming of the system, and (2) Fargo's "Records Management System"]; and, WHEREAS, Fargo, Moorhead, Cass County and Clay County have entered into a joint powers agreement for the providing of dispatch services through an organization entitled the Red River Regional Dispatch Center; and, WHEREAS, the programming, or code, for the Computer Aided Dispatch and Records Management System is such that the Records Management System portion of the programming or code may be installed into the computer systems of one or more of the parties to this agreement, if such were agreeable to Fargo and the programming, or code, for the Computer Aided Dispatch System may be separately installed into the computer system of the RRRDC and, in part, into the computer system of Moorhead, Cass County and Clay County; and, WHEREAS, RRRDC wishes to obtain access to, and to use, Fargo's Computer Aided Dispatch and Records Management System; and, WHEREAS, Cass County has already obtained the use of Fargo's Record's Management System through an agreement with Fargo for said purpose; and, WHEREAS, Clay County and Moorhead wish to obtain for their use Fargo's Computer Aided Dispatch and Records Management System; and, " CD~ï~t;¡;'ï?~18~2'-":-:=--='---'- /, Deleted: 5-11-2004 /// ../
