SERVICE OR OUT OF ANY BREACH OF ANY REPRESENTATION OR WARRANTY, <br /> EXPRESSED OR IMPLIED. <br /> ARTICLE VII: Termination and Modification <br /> MODIFICATION OF THIS LICENSE AGREEMENT AND THE APS SERVICE. <br /> Upon notice, City of Minneapolis may modify this license Agreement, including, without <br /> limitation, pricing and billing terms. City of Minneapolis may discontinue, add to, or revise any <br /> or all aspects of the APS Service in its sole discretion and without notice. <br /> TERMINATION BY LICENSEE. <br /> Licensee is free, if City of Minneapolis modifies this License Agreement, the APS Service, or <br /> related pricing or billing terms, to immediately terminate Licensee's account and this License <br /> Agreement. Licensee may otherwise cancel this License Agreement, without cause, with a thirty <br /> (30) day written notice. Licensee shall carry out any termination in accordance with the method <br /> or methods established by City of Minneapolis. <br /> TERMINATION OR SUSPENSION BY CITY OF MINNEAPOLIS. <br /> City of Minneapolis may terminate the Licensee's account and this License Agreement in the <br /> event of any breach of this Agreement by Licensee or a user of Licensee' account. City of <br /> Minneapolis reserves the rights in its sole discretion to terminate the Licensee's account and <br /> this License Agreement at any time or to suspend (with or without notice) or terminate access to <br /> or use of the APS Service, in whole or in part, with respect to any Licensee (and/or with respect <br /> to any user of Licensee's account) at any time. <br /> CONTINUATIONS OF OBLIGATIONS. <br /> Notwithstanding any cancellation or termination of this License Agreement or any account, or <br /> any suspension or termination of access to or use of the APS Service, Licensee will remain <br /> responsible for any obligations then accrued, including payment of any charges that may be due <br /> as of or in connection with such actions. <br /> ARTICLE VIII: Use and Assignment <br /> LIMITATION ON USE OF CONTENT. <br /> Except as expressly permitted in this License Agreement, neither Licensee nor any user of <br /> Licensee's account may reproduce, distribute, transmit, publish, or otherwise transfer or <br /> commercially exploit any content received or accessed through the APS Service. <br /> ILLEGAL PURPOSES <br /> Licensee agrees not to use the APS Service or any of its elements or related facilities or <br /> capabilities to conduct any activity, or solicit the performance of any activity, which is prohibited <br /> by or would violate any applicable law, rule, regulation or legal obligation. <br /> Licensee agrees to comply with the Minnesota Government Data Practices Act and all other <br /> applicable state and federal laws relating to data privacy or confidentiality.
