Associated <br /> Financial Group <br /> SERVICE FEE AGREEMENT <br /> This Agreement is entered into on the First day of January, 2014, by and between <br /> (hereinafter "Client and Associated Financial Group (hereinafter "AFG <br /> A. AFG is primarily engaged in the insurance brokerage business. <br /> B. AFG routinely helps its clients assess their insurance risks and needs, designs plans of <br /> insurance, and obtains cost quotes based on these plans, and places insurance with insurance <br /> carriers. <br /> C. AFG is typically compensated for its efforts through the commissions it receives in brokering <br /> the sale of insurance to its clients. <br /> D. AFG has been discussing insurance risks and needs with Client. <br /> Consulting Fee Relationship: Client has designated AFG to be its official Agent of <br /> Record, and has completed (or will complete) any forms necessary to do so. <br /> Marketing Fee Relationship: Although there is no formal business insurance agency <br /> relationship between them, Client has asked AFG to evaluate its insurance risk areas, <br /> compare and recommend insurance coverage options, design a plan of insurance (based <br /> upon discussions between the parties), obtain quotes for said plan, and procure or attempt <br /> to procure insurance suitable to Client's needs. <br /> NOW, THEREFORE, in consideration of the above recitals and the mutual promises and conditions <br /> contained in this Agreement, the Parties agree as follows: <br /> 1. Client's Performance: Client will provide AFG with, and give AFG full access to whatever <br /> information AFG determines is necessary to enable AFG to perform fully and effectively <br /> under this Agreement. <br /> 2. AFG's Performance: AFG will evaluate Client's insurance risk areas, compare and <br /> recommend insurance coverage options, design a plan of insurance (based upon discussions <br /> between the parties), obtain quotes for said plan, and procure or attempt to procure insurance <br /> suitable to Client's needs. AFG will provide Client with a separate Client Service Plan <br /> detailing the service commitments it will make to Client in connection with this Agreement. <br /> 3. Acknowledgement: Client acknowledges that AFG's promises, as set forth above, represent <br /> a significant investment of time, effort, and expense on the part of AFG, and are services for <br /> which AFG is normally compensated through the commissions it receives as a result of <br /> entering into a business /insurance agency relationship with its clients. <br /> 4. Compensation: Client acknowledges that AFG shall be entitled to compensation for the <br /> efforts it makes pursuant to this agreement, according to the following terms: <br /> Fees. For the services described herein, Client shall pay AFG fees in an annualized <br /> amount equal to $20,000. The fees set forth in the previous sentence shall be paid by <br /> Client according to the following payment plan: 1) annually, 2) quarterly, or 3) <br /> monthly (please circle one- will be monthly if no other option is selected) for services <br /> rendered. <br /> 1 <br /> Copyright 2008 by Associated Financial Group, LLC <br />
